3. Quotations and Formation of Contract
All pricing, specifications and service descriptions on this website are indicative only.
A legally binding contract will only arise where:
- A written quotation has been issued
- The quotation has been formally accepted
- The scope of works has been agreed
- Confirmation has been provided in writing
Verbal discussions, meetings, emails or indicative figures do not constitute a binding agreement unless confirmed in writing.
All works are subject to site conditions, access, structural integrity, weather, material availability and agreed specifications.
4. Payment Terms
Payment terms will be clearly set out within each written quotation or contract.
Unless otherwise agreed in writing:
- A deposit may be required prior to commencement
- Interim payments may apply on larger projects
- Final payment is due upon completion of the works
Invoices must be paid within the period stated on the invoice.
Where payment becomes overdue, we reserve the right to:
- Suspend works
- Charge interest and recovery costs in accordance with the Late Payment of Commercial Debts (Interest) Act 1998
- Recover reasonable legal or debt recovery costs
5. Retention of Title
All materials supplied by JTC Roofing & Cladding Ltd remain our property until paid for in full.
Until full payment is received:
- Legal title to materials does not pass to the client
- We reserve the right, where legally permitted, to recover unpaid materials
- Materials must not be sold, transferred or otherwise disposed of
This clause does not affect our right to recover outstanding sums for labour or completed works.
6. Workmanship and Defects
We will carry out works using reasonable skill and care in accordance with agreed specifications and current industry standards.
Any alleged defect in workmanship must be notified to us in writing within a reasonable time following completion.
Where a defect is proven and directly attributable to our workmanship, we will, at our discretion:
- Repair the defect, or
- Replace the affected element
We shall not be responsible for defects arising from:
- Fair wear and tear
- Lack of maintenance
- Third-party interference
- Structural movement
- Pre-existing building defects
- Design by others
- Extreme or abnormal weather conditions
Our liability shall be limited to rectification of proven workmanship defects.
7. Programme and Delays
We will use reasonable endeavours to complete works within agreed programme dates.
Roofing and cladding works are dependent upon weather, access and coordination with other parties.
We shall not be liable for delay where such delay arises from circumstances beyond our reasonable control, including but not limited to:
- Adverse or unsafe weather
- Restricted or delayed site access
- Client variations or late instructions
- Delays caused by other contractors
- Unforeseen structural or building conditions
- Material supply disruption
- Industrial action
- Utility interruptions
- Force majeure events
Where such circumstances arise, we shall be entitled to:
- A reasonable extension of time
- Adjustment to programme dates
- Recovery of additional costs directly arising from the delay, where applicable
Unless expressly agreed in writing, time shall not be of the essence.
8. Health & Safety
We operate in accordance with applicable UK health and safety legislation, including the Construction (Design and Management) Regulations 2015.
Where we are appointed to carry out works:
- We will comply with site-specific health and safety requirements
- We will provide relevant risk assessments and method statements where required
The client remains responsible for:
- Providing safe and lawful access to site
- Ensuring structural stability of the existing building
- Disclosing relevant site hazards or known risks
We reserve the right to suspend works where site conditions present a health and safety risk.
9. Limitation of Liability
To the fullest extent permitted by law, JTC Roofing & Cladding Ltd’s total aggregate liability arising out of or in connection with any contract for works shall not exceed the total contract value of the works to which the claim relates.
We shall not be liable for:
- Indirect or consequential loss
- Loss of profit
- Loss of revenue
- Loss of production
- Loss of business opportunity
- Business interruption losses
Nothing in these terms limits or excludes liability for:
- Death or personal injury caused by negligence
- Fraud or fraudulent misrepresentation
- Any liability that cannot legally be excluded
All liability is subject to the agreed written contract or quotation for the works.

All content on this website, including text, images and logos, remains the property of JTC Roofing & Cladding Ltd unless otherwise stated.
